OUR PEOPLE

Makes & Partners consists of more than 20 lawyers, including permanently employed foreign counsels, most with dual degrees in law and business, with educational institutions such as Harvard Business School, University of California at Berkeley, University of Philippines, National Law School of India University, University of Indonesia and Padjadjaran University being represented in our firm. Our lawyers are assisted by a panel of special counsels who previously served in senior capacities with various government ministries, the Supreme Court and leading academic institutions. Our lawyers work based on a coordinated team approach, and we welcome our clients' representatives to be an integral part of our team during the transaction.

Yozua Makes, S.H., LL.M, MM
Founder and Managing Partner


Yozua has more than more than 25 years of experience in transnational mergers and acquisitions, corporate finance, project finance, foreign investment and a broad range of complex cross-border commercial transactions directly associated with capital markets.

Yozua holds a Master of Law Degree (LL.M) from University of California, Berkeley, USA School of Law and a Bachelor's Degree in Law from University of Indonesia. He was also enrolled in the Advance Management Program (AMP) (alumni degree) in Harvard Business School, USA. He obtained his Master of Management Degree in Asian Institute of Management, in the Philippines.

He is one of the first members of the National Committee on Corporate Governance, Registered Legal Consultant of the Indonesian Capital Markets Supervisory Board (BAPEPAM) and Distinguished Associate Professor of the Faculty of Law, University of Pelita Harapan, to name a few.

Iwan Setiawan, S.H.
Senior Partner

Iwan is a graduate of the University of Padjajaran, Faculty of Law (SH) and joined Makes & Partners since its establishment in 1993. After graduating from the University of Padjajaran, he engaged in the practice of various fields of business law and worked as a senior associate in Kartini Muljadi & Partners Law Firm, Jakarta and then later joined Makes & Partners as a Partner.

Iwan has over 20 years of legal experience. He specializes in capital markets property, banking, corporate restructuring, foreign & domestic investments, mergers and acquisitions, and environmental laws. He is a Registered Legal Consultant of the BAPEPAM. Under his charge, Makes & Partners has consistently and successfully completed landmark capital market transactions. Iwan has been nominated as a leading lawyer in 2011 edition of IFLR 1000.

Irfan Ghazali, S.H.
Partner


Irfan is a graduate of the University of Indonesia with a Bachelor's degree in Law. Irfan began his career as an associate at Herdini & Partners and after several years, joined Makes & Partners. He has vast experience in various Indonesian capital market transactions, including mergers and acquisitions of reputed public listed companies. Some of the deals that he was involved in are: the issuance of PT Berau Coal Secured Guarantee Notes, the Bonds issuance of PT Bank Pembangunan Daerah Jawa Barat dan Banten Tbk, leverage buy out transaction of PT Nusantara Thermal Coal and PT Riau Baraharum (both are subsidiaries of PT Permata Energy Resources) and the Initial Public Offering of PT Krakatau Steel (Perseroan) Tbk, PT Pelat Timah Nusantara Tbk, PT Agung Podomoro Land Tbk and PT Harum Energy Tbk. He was also involved in various corporate financing transactions, including that of PT Media Nusantara Citra Tbk, PT Rajawali Citra Televisi Indonesia, PT Permata Energy Resources, Charoen Group and the listing of PT Medco Energi Internasional Tbk Global Depository Receipts.

Fransisca, S.H.
Partner


Fransisca holds a Bachelor's degree in Law from the Faculty of Law, University of Trisakti, in Indonesia. Fransisca began her career in 1999 as a junior associate of Bya and Chaidir Law Firm and was promoted as associate soon thereafter. In 2003, she joined PT Mobile-8 Telecom Tbk ("Mobile-8"), a telecommunications service company, as its Corporate Legal Manager, and thereafter held the positions of Senior Legal Manager and Corporate Secretary in the company. In Mobile-8, she was responsible for the corporate legal matters and said corporate actions of the company, including matters relating to project financing, loan facility, initial public offering, warrants issuance, mergers, acquisitions, bonds issuance, preparation of Annual Report and compliance with the requirements of the Capital Markets Law. After working in Mobile-8 for more than 5 years, she joined Makes & Partners Law Firm in 2009. At Makes & Partners, Fransisca is involved in the Hospital Property Acquisition that was conducted by First Real Estate Investment Trust (First REIT), the Initial Public Offering of PT Agung Podomoro Land Tbk and PT Indofood CBP Sukses Makmur Tbk, and the issuance of the US$125,000,000 9% Senior Notes due for PT Lippo Karawaci Tbk.

CONSULTANTS

Mrs. Eliyana Maria Tanzah, S.H.


Mrs. Eliyana holds a Bachelor's Degree in Law from the University of Gajahmada, Yogyakarta. She was a member of the judiciary in the Supreme Court of Indonesia and specializes in the application of the Indonesian Civil Code, the Indonesian Commercial Code and the Indonesian Criminal Code. She has contributed greatly to the Indonesian legal profession and was a part of the team that drafted the Indonesian Bankruptcy Law.

Mrs. Eliyana has been associated with Makes & Partners for more than 5 years now. Apart from providing routine consulting service, she also undertakes training for the Makes team.

I Wayan Nedeng

Mr. Wayan holds a Bachelor of Law Degree from Universitas Negri Jember. He worked for the government as the Head of Registrar's Office of the Central Committee for Settlement of Labor Disputes, then as a Director of Work Requirements, Wages & Salaries, and Social Security. He was also appointed as the Head of Central Committee for the Settlement of Labor Disputes.

Mr. Wayan continues to contribute to the legal profession by training the young lawyers at Makes & Partners in labor law, manpower law and industrial relations issues.

Prof. Hikmahanto Juwana, SH, LLM., Ph.D

Prof. Hikmahanto is well-known in the Indonesian legal academe as the former Dean of Universitas Indonesia, and in the government for his various participation in the legal developments through his membership in special government committees advising on various issues of national concern.

FOREIGN COUNSELS

Trini Anne G. Nieva-Villanueva


Ms. Villanueva attained her Juris Doctor Degree at the Ateneo de Manila Law School of the Ateneo de Manila University in the Philippines and this is preceded by her success in obtaining an undergraduate degree of Bachelor of Arts in Legal Management from the University of Sto. Tomas. She has extensive legal practice in the corporate arena in guiding and providing both technical and legal support to various domestic and/or foreign corporations covering local, regional and international transactions from the negotiation stage to the implementation phase. Moreover, her area of practice ensuring corporate due diligence in intra-corporate matters such as but not limited to identifying and preventing potential problem areas or issues that may arise in relation to corporate formation or establishment and it structure, status, governance and management-labor relations.
