Makes & Partners currently has more than 20 lawyers, including permanently employed foreign counsels, most with dual degrees in law and business, with educational institutions such as Harvard Business School, University of California at Berkeley, University of Philippines, National Law School of India University, University of Indonesia and Padjadjaran University being represented in our firm. Our lawyers are assisted by a panel of special counsels who previously served in senior capacities with various government ministries, the Supreme Court and leading academic institutions. Founder and Managing Partner
Yozua Makes, S.H., LL.M, MM


Yozua has more than more than 25 years of experience in transnational mergers and acquisitions, corporate finance, project finance, foreign investment and a broad range of complex cross-border commercial transactions directly associated with capital markets.

Yozua holds a Master of Law Degree (LL.M) from University of California, Berkeley, USA School of Law and a Bachelor's Degree in Law from University of Indonesia. He was also enrolled in the Advance Management Program (AMP) (alumni degree) in Harvard Business School, USA. He obtained his Master of Management Degree in Asian Institute of Management, in the Philippines.

He is one of the first members of the National Committee on Corporate Governance, Registered Legal Consultant of the Indonesian Capital Markets Supervisory Board (BAPEPAM) and Distinguished Associate Professor of the Faculty of Law, University of Pelita Harapan, to name a few.

Senior Partner
Iwan Setiawan, S.H.


Iwan is a graduate of the University of Padjajaran, Faculty of Law (SH) and joined Makes & Partners since its establishment in 1993. After graduating from the University of Padjajaran, he engaged in the practice of various fields of business law and worked as a senior associate in Kartini Muljadi & Partners Law Firm, Jakarta and then later joined Makes & Partners as a Partner.

Iwan has over 20 years of legal experience. He specializes in capital markets property, banking, corporate restructuring, foreign & domestic investments, mergers and acquisitions, and environmental laws. He is a Registered Legal Consultant of the BAPEPAM. Under his charge, Makes & Partners has consistently and successfully completed landmark capital market transactions. Iwan was nominated for the 2009 Asialaw Leading Lawyers Award in the practice area of Capital Markets/Corporate Finance.

Irfan Ghazali, S.H.


Irfan is a graduate of the University of Indonesia with a Bachelor's degree in Law. Irfan began his career as an associate at Herdini & Partners and after several years, joined Makes & Partners. He has vast experience in various Indonesian capital market transactions, including mergers and acquisitions of reputed public listed companies. Some of the deals that he was involved in are: the issuance of PT Berau Coal Secured Guarantee Notes and various corporate financing transactions, including that of PT Media Nusantara Citra Tbk, PT Rajawali Citra Televisi Indonesia, Charoen Group and the listing of PT Medco Energi Internasional Tbk Global Depository Receipts.

CONSULTANTS

Mrs. Eliyana Maria Tanzah, S.H.


Mrs. Eliyana holds a Bachelor's Degree in Law from the University of Gajahmada, Yogyakarta. She was a member of the judiciary in the Supreme Court of Indonesia and specializes in the application of the Indonesian Civil Code, the Indonesian Commercial Code and the Indonesian Criminal Code. She has contributed greatly to the Indonesian legal profession and was a part of the team that drafted the Indonesian Bankruptcy Law.

Mrs. Eliyana has been associated with Makes & Partners for more than 5 years now. Apart from providing routine consulting service, she also undertakes training for the Makes team.

I Wayan Nedeng

Mr. Wayan holds a Bachelor of Law Degree from Universitas Negri Jember. He worked for the government as the Head of Registrar's Office of the Central Committee for Settlement of Labor Disputes, then as a Director of Work Requirements, Wages & Salaries, and Social Security. He was also appointed as the Head of Central Committee for the Settlement of Labor Disputes.

Mr. Wayan continues to contribute to the legal profession by training the young lawyers at Makes & Partners in labor law, manpower law and industrial relations issues.

FOREIGN COUNSELS

Genevieve Therese G. Alcancia


Genevieve obtained her Juris Doctor degree from the Ateneo de Manila University School of Law, one of the top law schools in the Philippines, and her Bachelor of Science degree in Business Administration from the University of Philippines, the premiere state university in the Philippines.

After graduating from law school in 2003, she joined Ponce Enrile Reyes & Manalastas Law Offices (Pecabar), one of the leading full-service law firms in the Philippines, as a legal assistant. She was then promoted to Junior Associate after passing the bar exams, and eventually to Senior Associate of said firm. In Pecabar, she was involved in the following practice areas: corporate & special projects, general counseling & retainer services, taxation & estate planning, banking, intellectual property, and labor & immigration. In 2007, she joined Puno & Puno Law Offices (P&P), another high-ranking full-service law firm in the Philippines, and was involved in various major projects and multinational deals in the following practice areas: corporate and commercial, mergers & acquisition, privatization, banking and finance, securities, taxation, real property, intellectual property, information technology & communications, energy, mining, government relations & regulatory affairs, and labor & immigration. She also served as Corporate Secretary and Assistant Corporate Secretary of various domestic and multinational holding companies, operating companies and non-profit organizations. At Makes & Partners, she is involved in corporate and project finance, banking transactions, capital market transactions, foreign investments, mergers & acquisitions, debt restructuring, and corporate restructuring & reorganization.

Fransisca, S.H.


Fransisca holds a Bachelor's degree in Law from the Faculty of Law, University of Trisakti, in Indonesia. Fransisca began her career in 1999 as a junior associate of Bya and Chaidir Law Firm and was promoted as associate soon thereafter. In 2003, she joined PT Mobile-8 Telecom Tbk ("Mobile-8"), a telecommunications service company, as its Corporate Legal Manager, and thereafter held the positions of Senior Legal Manager and Corporate Secretary in the company. In Mobile-8, she was responsible for the corporate legal matters and said corporate actions of the company, including matters relating to project financing, loan facility, initial public offering, warrants issuance, mergers, acquisitions, bonds issuance, preparation of Annual Report and compliance with the requirements of the Capital Markets Law. After working in Mobile-8 for more than 5 years, she joined Makes & Partners Law Firm in 2009. At Makes & Partners, Fransisca is involved in various transactions in the following practice areas: corporate governance, mergers & acquisition, banking transactions, corporate and project finance, and capital market transactions.

Ispandiati Makmur, S.H.

Ispandiati is a graduate of the Faculty of Law, University of Indonesia. Before joining Makes & Partners, she has worked as an associate of Arie S. Hutagalung & Associates Law Firm, and as an in-house counsel of PT Lafarge Cement Indonesia.

She has participated in various legal trainings. Namely Management Forum (Leader for Tomorrow) in Saujana, Kuala Lumpur conducted by the University of Lafarge, Asian Legal Meeting in Manila, and Indonesian Competition Law on National Cement in Indonesia in collaboration with Komisi Pengawasan Persaingan Usaha (KPPU). She has more than 7 years of experience in general corporate matters, loan facility, land and property, investment banking, and capital market transactions. During her stay in Makes & Partners, some of the matters she has been involved in are Lippo Mapletree Indonesian Retail Trust, DBS Bank loan for Kemayoran Property in Komplek Kemayoran, PT Sinar Sosro Loan Facility from PT Bank DBS Indonesia and Excelcomindo's sale of 7000 telecommunications towers.

Irana Candra Mala, S.H.

Irana holds a Bachelor's Degree in Economics Law from the University of Padjajaran. She has substantial experience in handling a wide range of corporate law matters including drafting of corporate documents and resolutions, conducting general meetingS of shareholders, handling mergers & acquisitions and liquidation transactions.

Irana is also experienced in drafting of documents relating to Capital Markets law including Initial Public Offerings and Legal Audits.

Yohanes, S.H

Yohanes holds a Bachelor’s degree in Business Law from the University of Trisakti.

Prior to his stint at Makes & Partners, he worked as an associate at William, Effendie & Co Law Firm and as in-house legal counsel at PT Duta Palma Nusantara.

Yohanes has an extensive experience in land acquisition, plantation, capital markets, investment, mergers and acquisitions and general corporate matters. At Makes & Partners, he has been involved in the acquisition of PT Anugrah Prima and PT Medan Niaga Utomo as the owner of Plaza Medan Fair by the Metropolis Group, acquisition of controlling stake by OSK Investment Bank Berhad in PT Nusadana Capital Indonesia, bond issuance of PT Metrodata Electronics Tbk, rights issue of PT Surya Semesta Internusa Tbk and other notable capital market transactions.
